Paralegal – Corporate & Estate Planning

Outside Legal Counsel, LTD (“OLC”) Naperville / DuPage County Area | Full-Time

OLC is a highly respected law firm providing corporate counsel succession and estate planning services to closely held businesses, executives, and multi-generational family enterprises. Our firm acts as outside general counsel for several long-standing corporate clients and supports them on a wide range of legal matters including corporate governance, commercial contracts, intellectual property matters, succession and estate planning.

We are seeking a detail-oriented, highly organized Paralegal who thrives in a fast-paced sophisticated legal environment and takes pride in producing accurate, professional work product.

This position plays a key role in supporting attorneys and clients by assisting with contract drafting, corporate documentation, estate planning matters, and client file management.

Position Overview

The Paralegal will assist the firm’s attorneys with preparation and management of legal documents, client matters, and corporate filings. The role requires strong attention to detail, excellent written communication, and the ability to manage multiple client matters simultaneously.

This position requires the ability to work independently while maintaining a high level of professionalism and confidentiality.

Primary ResponsibilitiesCorporate and Transactional Work

Assist attorney with preparation and review of corporate and commercial legal documents, including:

  • Non-Disclosure Agreements (NDAs)
  • Distribution agreements
  • Supplier and vendor agreements
  • Consulting agreements
  • Licensing agreements
  • Corporate resolutions
  • Shareholder agreements
  • Operating agreements
  • Corporate governance documentation

Responsibilities include:

  • Drafting and formatting legal documents
  • Preparing redline comparisons of agreements
  • Proofreading and quality control review of contracts
  • Organizing executed documents and maintaining client records
  • Preparing signature packets and execution documents
  • Managing document revisions and version control

Corporate Client Support

Support the firm’s corporate clients by assisting with:

  • Corporate record maintenance
  • Entity formation documentation
  • Corporate filings and compliance
  • Maintaining corporate minute books
  • Preparing annual corporate documentation
  • Assisting with intellectual property and trademark documentation

Estate Planning Support

Assist attorneys with estate planning matters including:

  • Preparing estate planning document packages
  • Drafting and assembling trusts, wills, and powers of attorney
  • Preparing asset schedules
  • Organizing client questionnaires and documentation
  • Coordinating client signing meetings
  • Assembling final estate plan binders and closing documentation

Client File and Document Management

  • Open and maintain client files
  • Organize digital and physical document records
  • Maintain document templates and clause libraries
  • Assist with standardization of firm documents and procedures
  • Maintain organized records of executed agreements

Billing

  • Record billable time accurately
  • Ensure time entries are detailed and properly associated with client matters
  • Assist attorney with matter management and billing documentation

Typical billable work includes:

  • Contract drafting and review
  • Document preparation
  • Legal research
  • Client correspondence
  • Preparation of corporate or estate planning documents

Qualifications

The ideal candidate will possess:

  • 5+ years experience as a paralegal or legal assistant (corporate preferred)
  • Strong writing, proofreading, and document formatting skills
  • Exceptional attention to detail
  • Ability to manage multiple matters simultaneously
  • Strong organizational and time management skills
  • Professional communication and client service skills

Preferred qualifications:

  • Experience in corporate law or estate planning
  • Familiarity with contract drafting and review
  • Experience maintaining corporate records
  • Experience with legal timekeeping and billing systems

Technical Skills

Candidates should be comfortable working with:

  • Microsoft Word (advanced document formatting)
  • Microsoft Excel
  • Document redlining and comparison tools
  • Legal billing software such as Sage Timeslips
  • Document management systems
  • Familiarity with AI systems
